Welcome to EasyRez.com. By using our site, you are agreeing to comply with and be bound by the following terms of use. Please review the following terms carefully. If you do not agree to these terms, you should not use this site. The term "EasyRez" or "us" or "we" or "our" refers to EasyRez Inc., the owner of the Web site. The term "you" refers to the user or viewer of our Web Site.
COPYRIGHT. The content, organization, graphics, design, compilation, magnetic translation, digital conversion and other matters related to the Site are protected under applicable copyrights, trademarks and other proprietary (including but not limited to intellectual property) rights. The copying, redistribution, use or publication by you of any such matters or any part of the Site is strictly prohibited. You do not acquire ownership rights to any content, document or other materials viewed through the Site. The posting of information or materials on the Site does not constitute a waiver of any right in such information and materials. Some of the content on the site is the copyrighted work of third parties.
SERVICE MARKS. Easyrez.com and others are our service marks or registered service marks or trademarks. Other product and company names mentioned on the Site may be trademarks of their respective owners.
LIMITED LICENSE; PERMITTED USES. You are granted a non-exclusive, non-transferable, revocable license (a) to access and use the Site strictly in accordance with this Agreement; (b) to use the Site solely for internal, personal, non-commercial purposes; and (c) to print out discrete information from the Site solely for internal, personal, non-commercial purposes and provided that you maintain all copyright and other policies contained therein. No print out or electronic version of any part of the Site or its contents may be used by you in any litigation or arbitration matter whatsoever under any circumstances.
RESTRICTIONS AND PROHIBITIONS ON USE. YOU UNDERSTAND AND AGREE THAT THE SERVICES, THE SITE AND/OR ANY MATERIALS PROVIDED ON THE SITE, ARE PROVIDED "AS IS" AND EASYREZ, ITS PARTNERS, SUPPLIERS AND RESELLERS EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. EASYREZ, ITS PARTNERS, SUPPLIERS AND RESELLERS MAKE NO WARRANTY OR REPRESENTATION REGARDING THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SITE AND/OR SERVICES, REGARDING THE ACCURACY OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH THE SITE AND/OR SERVICES, REGARDING ANY GOODS OR SERVICES PURCHASED OR OBTAINED THROUGH THE SITE AND/OR SERVICES, REGARDING ANY TRANSACTIONS ENTERED INTO THROUGH THE SITE AND/OR SERVICES OR THAT THE SITE AND/OR SERVICES WILL MEET ANY USER'S REQUIREMENTS, OR BE UNINTERRUPTED, TIMELY, SECURE OR ERROR FREE. USE OF THE SITE AND/OR SERVICES IS AT YOUR SOLE RISK. ANY MATERIAL AND/OR DATA DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SITE AND/OR SERVICES IS AT YOUR OWN DISCRETION AND RISK. YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOU RESULTING FROM THE USE OF THE SITE AND/OR SERVICES. THE ENTIRE RISK ARISING OUT OF USE OR PERFORMANCE OF THE SITE AND/OR SERVICES REMAINS WITH YOU. You agree to indemnify, defend and hold harmless EasyRez, its Partners, officers, directors, employees, consultants, agents, suppliers and Resellers from any and all third party claims, liability, damages and/or costs (including, but not limited to, attorneys fees) arising from your use of the Site and/or Services.
LIMITATION OF LIABILITY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL EASYREZ OR ITS PARTNERS, SUPPLIERS OR RESELLERS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, EXEMPLARY OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS OR DAMAGE) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SITE AND/OR SERVICES OR ANY DAMAGES TO, OR VIRUSES THAT MAY INFECT YOUR COMPUTER EQUIPMENT OR OTHER PROPERTY ON YOUR ACCOUNT TO, USE OF, OR BROWSING IN THE SITE OR YOUR DOWNLOADING OF EMAILS FROM EASYREZ OR OF ANY MATERIALS, DATA, TEXT OR IMAGES FROM THE SITE OR THE PROVISION OF OR FAILURE TO PROVIDE TECHNICAL OR OTHER SUPPORT SERVICES, WHETHER ARISING IN TORT (INCLUDING NEGLIGENCE) CONTRACT OR ANY OTHER LEGAL THEORY, EVEN IF EASYREZ, ITS PARTNERS, SUPPLIERS OR RESELLERS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN ANY CASE, EASYREZ, ITS PARTNERS', SUPPLIERS' AND RESELLERS' MAXIMUM CUMULATIVE LIABILITY AND YOUR EXCLUSIVE REMEDY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT WILL BE LIMITED TO THE AMOUNT ACTUALLY PAID BY YOU FOR THE SERVICES (IF ANY) IN THE PREVIOUS 12 MONTHS. Because some jurisdictions do not allow the exclusion or limitation of liability, the above limitation may not apply to you.
LINKS TO THIRD PARTY SITES. Links within the EasyRez Site may let you leave the Site and visit web sites that are not controlled by EasyRez. Neither EasyRez nor any of EasyRez's Partners is responsible for any content of any such linked web site. Links are provided only as a convenience and do not imply any endorsement by EasyRez or any of the Partners. If you decide to access other Web sites, you do so at your own risk.
LINKING TO THE SITE. You may provide links to the Site, provided (a) that you do not remove or obscure, by framing or otherwise, advertisements, the copyright notice, or other notices on the Site, (b) your site does not engage in illegal or pornographic activities, and (c) you discontinue providing links to the Site immediately upon request by us.
GOVERNING LAW. This Agreement shall be governed by and construed in accordance with the laws of the Province of British Columbia without reference to its conflicts of laws principles. Any litigation or arbitration with respect to the subject matter herein will take place in Victoria, B.C., and EasyRez and you (the "parties") consent and agree to personal jurisdiction and venue in any forum located therein. The parties agree that any dispute arising from the performance of this Agreement will be submitted to a mutually acceptable mediator. In the event the dispute remains unresolved after fifteen (15) days from either party's first attempt to arrange mediation (or such longer period as both parties may mutually agree in writing), then such dispute will be resolved by binding arbitration pursuant to the Commercial Arbitration Act (British Columbia).
PRIVACY AND INFORMATION SECURITY POLICY. The EasyRez Privacy and Information Security Policy can be accessed at www.easyrez.com (" Privacy & Security ") and you hereby acknowledge that you have accessed and read the Privacy Policy, that it is a part of this Agreement, and that it is incorporated herein by this reference. The Privacy Policy explains how certain information about you may be processed and used, among many other details. You agree to the Privacy Policy as if the "you" referenced therein is a reference to you. If you are a resident of California , EasyRez is required in some circumstances to disclose or provide notice of invasion of certain security systems. You agree that EasyRez may do so when required, by either sending an email notification to affected California residents, notifying major statewide media of the invasion, or other appropriate measures. You agree to receive notice by any of these methods.
ENTIRE AGREEMENT. You agree to the terms and conditions outlined in this Terms of Use Agreement ("Agreement") with respect to our site (the "Site"). This Agreement constitutes the entire and only agreement between us and you, and supersedes all prior or contemporaneous agreements, representations, warranties and understandings with respect to the Site, the content, products or services provided by or through the Site, and the subject matter of this Agreement. This Agreement may be amended at any time by us from time to time without specific notice to you. The latest Agreement will be posted on the Site, and you should review this Agreement prior to using the Site.
